Job Description:

We are looking for a Corporate Legal Secretary to undertake a variety of administrative and clerical tasks. You will work under the supervision of general counsel a paralegal and will also provide support in managing the legal department and contracts. The goal is to sustain efficiency of all office procedures and contract management so as to guarantee reliability and consistency. You enjoy working in a busy and dynamic environment and are highly organized.Responsibilities

  • Act as point of contact for department tracking of contracts, updates, regulatory filings and more. Ensure legal documents, contracts drafts, nda's etc and responses are tracked and responded to timely and move through legal review quickly
  • Assist in all aspects of the company's legal function as a key point of contact for other business units and provide general administrative support to the company's in-house legal counsel.
  • Independently organize, maintain, update and monitor the company's database of contracts with vendors, customers and clinical partners and report on contract metrics and deadlines for necessary updates, amendments and terminations in response to business needs.
  • Work cooperatively with legal counsel to develop contract templates and maintain a library of standard contract templates for use across the organization, including NDAs, sales agreements, vendor and consulting contracts, and clinical R&D agreements.
  • Manage all corporate records, including Board of Directors and shareholder minutes, corporate subsidiary, director and officer information, governance policies and compliance processes, including federal and state "Blue Sky" securities compliance.
  • Support various ongoing or special legal projects
  • Assist counsel in implementing company-wide compliance, regulatory and legal practices.
  • Assist with filings, amendments, and other paperwork needed by regulatory bodies,Requirements and Qualifications
    • Exceptional organizational skills, able to track documents and projects and coordinate with others to move them quickly from draft to completion
    • Bachelor's Degree from college or university
    • 2-5 years in a corporate or law firm environment preferred
    • Experience using contract management software preferred (such as Concord, Contract Logix, Cobblestone or Salesforce) preferred, including identifying and inputting essential contract terms, generating reports and monitoring various contract metrics
    • Experience with healthcare, pharmaceutical, life science or another heavily regulated industry preferred.
    • Computer/word processing skills, with demonstrated experience creating and editing MS Word documents,Applicants must be detail oriented, team players, highly dependable, and have excellent grammar, spelling, proofreading, oral, administrative and interpersonal skills.
